Merge VNPT-Vinaphone and VNPT-Media into VNPT
The Government agrees with the proposal of the Ministry of Finance to merge VNPT-Vinaphone and VNPT-Media into the parent company, VNPT Group. The Government has just issued Resolution No. 186/NQ-CP, dated June 25, 2025, merging the Telecommunication Services Corporation and the Media Corporation into the parent company - Vietnam Posts and Telecommunications Group (VNPT Group)
Accordingly, the Government endorses the Ministry of Finance's proposal to apply the provisions of Decree No. 23 issued by the Government regarding the establishment, reorganization, conversion of ownership, and transfer of ownership representation rights at enterprises in which the State holds 100% of the charter capital. This will facilitate the reorganization of the subsidiaries of Vietnam Posts and Telecommunications Group (VNPT) through the merger of the Telecommunication Services Corporation (VNPT-Vinaphone) and the Media Corporation (VNPT-Media) into the parent company - VNPT Group. Specifically, regarding authority: The Board of Members of VNPT Group will decide on the merger of VNPT-Vinaphone and VNPT-Media into the parent company VNPT after the Prime Minister approves the merger policy at the request of the Ministry of Finance, which acts as the representative agency of the owner of VNPT Group. Within three days from the date of issuance of this Resolution, the Ministry of Finance shall complete its submission to the Prime Minister for approval of the merger policy, based on the documents provided by VNPT Group and received from the State Capital Management Committee at the former enterprise. The Ministry will be responsible for the submission to the Prime Minister and will supervise the implementation of the merger to ensure the efficient use of state capital invested in the enterprise. The Board of Members of the Group will operate continuously throughout the merger process. VNPT is responsible for merging VNPT-Vinaphone and VNPT-Media into the parent company - VNPT, ensuring compliance with the submitted documents and project to the Ministry of Finance. This process aims to ensure a streamlined, effective, and efficient corporate apparatus, improving capital use efficiency, and the Board will be responsible for the proposal and effectiveness of the arrangement and merger.
